Terms of Service
1. Acceptance of Terms
By accessing or using the services provided by NoviraPixelFoundry, located at Rua de Cedofeita 310, 4050-174 Porto, Portugal, you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use of our services immediately.
2. Scope of Services
NoviraPixelFoundry provides professional copywriting, content strategy, thought-leadership article production, and multi-channel email campaign services. The scope, deliverables, and timelines for each engagement are defined in a written project agreement or statement of work (SOW) executed between the parties.
3. Project Agreements
Each project is governed by a specific SOW that outlines deliverables, milestones, timelines, and pricing. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail. Amendments to the SOW must be made in writing and signed by both parties.
4. Payment Terms
Unless otherwise specified in the SOW:
- Invoices are payable within 14 days of the invoice date.
- Payments are processed via Stripe. A payment link will be provided with each invoice.
- Late payments incur a statutory interest rate of 4% per annum under Portuguese law.
- All quoted prices are exclusive of VAT, which will be applied at the prevailing rate where required.
5. Intellectual Property
Upon full payment, all intellectual property rights in the deliverables are assigned to the client. NoviraPixelFoundry retains the right to display completed work in its portfolio and marketing materials unless expressly objected to in writing. Pre-existing materials, frameworks, and methodologies used in service delivery remain the property of NoviraPixelFoundry.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the service agreement for a period of 24 months. Confidential information shall not be disclosed to third parties without prior written consent.
7. Limitation of Liability
NoviraPixelFoundry's total aggregate liability under any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, or incidental damages, including loss of revenue, profits, or business opportunities.
8. Termination
Either party may terminate a project agreement with 14 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Work in progress will be delivered in its current state. NoviraPixelFoundry reserves the right to terminate immediately in the event of material breach or non-payment.
9. Governing Law
These Terms are governed by the laws of the Portuguese Republic. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Porto, Portugal.
10. Amendments
NoviraPixelFoundry reserves the right to amend these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 14 days before they take effect.

Refund & Reimbursement Policy
1. Scope
This Refund Policy applies to all services provided by NoviraPixelFoundry, registered at Rua de Cedofeita 310, 4050-174 Porto, Portugal. It governs the terms under which refunds or reimbursements may be issued for commissioned copywriting, content strategy, and email campaign services.
2. Cancellation Before Work Begins
If a project is cancelled before any work has commenced, a full refund of any advance payment will be issued within 14 business days. Cancellation must be communicated in writing to [email protected].
3. Cancellation During Active Projects
For projects cancelled after work has begun:
- Milestone-based projects: Payment is due for all completed milestones. A pro-rata refund will be issued for any prepaid amount exceeding the value of completed work.
- Hourly engagements: Invoiced hours are non-refundable. Any prepaid balance for unworked hours will be returned within 14 business days.
- Retainer agreements: Retainer fees are non-refundable for the current billing period. Cancellation takes effect at the end of the current billing cycle.
4. Dissatisfaction with Deliverables
If you are dissatisfied with delivered work, you must notify us within 7 days of delivery. We will offer up to two rounds of revisions at no additional cost. If, after revisions, the deliverables remain materially different from the agreed scope defined in the SOW, a partial refund may be negotiated in good faith. Refund requests submitted after the 7-day window are evaluated on a case-by-case basis.
5. Non-Refundable Items
The following are not eligible for refunds:
- Work completed and approved by the client.
- Third-party costs incurred on behalf of the client (e.g., stock imagery, distribution platform fees).
- Services rendered under a signed SOW where the client has received and used the deliverables.
- Brand voice or messaging framework packages, once the initial discovery session has been completed.
6. Refund Process
Refund requests must be submitted in writing to [email protected] with the subject line "Refund Request – [Project Name]". We will acknowledge receipt within 2 business days and process approved refunds within 14 business days via the original payment method.
7. Dispute Resolution
In the event of a dispute regarding a refund, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days before pursuing any legal remedies. These Terms are governed by the laws of the Portuguese Republic, and any unresolved disputes shall be submitted to the courts of Porto, Portugal.
